Supply & Payment Terms and Conditions

1. Scope

These Terms and Conditions govern the supply of automotive aftercare products by the Supplier to the Customer. Individual product warranties remain subject to the manufacturer's or supplier's specific warranty documentation.

2. Orders
  • All orders are subject to acceptance by the Supplier.

  • Orders must be placed in writing, via email or other approved ordering methods.

  • Once accepted, orders may only be amended or cancelled with the Supplier's written approval.

3. Pricing
  • Prices are those quoted by the Supplier at the time of order unless otherwise agreed.

  • Prices exclude GST unless expressly stated.

  • The Supplier reserves the right to adjust pricing with reasonable notice where supplier costs or market conditions change.

4. Payment Terms
  • Payment is due upon receipt of invoice, unless otherwise agreed in writing.

  • Late payments may incur interest at the rate specified in the Customer's credit application or, if none applies, at a reasonable commercial rate.

  • The Supplier may suspend further deliveries if accounts become overdue.

5. Delivery
  • Delivery dates are estimates only and are subject to product availability.

  • Risk in the goods passes to the Customer upon delivery.

  • Delivery charges may apply unless otherwise agreed.

6. Inspection and Claims
  • The Customer must inspect goods upon delivery.

  • Any shortages, damage or incorrect supply must be reported within a specified period (for example, 7 business days).

  • Claims made outside this period may not be accepted.

7. Returns
  • Returns require prior approval from the Supplier.

  • Goods must be unused, in original packaging and in saleable condition.

  • Special-order or customised products may not be eligible for return unless defective.

  • Restocking fees may apply where applicable.

 

8. Product Warranties
  • Each product is supplied with its own manufacturer's or supplier's warranty.

  • Warranty claims must follow the relevant manufacturer's warranty process.

  • The Supplier will assist in facilitating warranty claims where appropriate but is not responsible for warranty decisions made by the manufacturer.

  • Nothing in these Terms excludes rights available under applicable consumer protection legislation.

9. Retention of Title
  • Ownership of goods remains with the Supplier until all amounts owing for those goods have been paid in full.

10. Liability
  • The Supplier's liability is limited to the replacement or repair of defective goods, or the refund of the purchase price, where permitted by law.

  • The Supplier is not liable for indirect, consequential or economic loss arising from the use of the products, except where liability cannot legally be excluded.

11. Force Majeure
  • The Supplier is not liable for delays or failure to supply caused by events beyond its reasonable control, including supplier shortages, transport disruptions, natural disasters or government actions.

12. Governing Law
  • These Terms and Conditions are governed by the laws of the applicable Australian State or Territory in which the Supplier conducts business, unless otherwise agreed.

13. Entire Agreement
  • These Terms, together with any approved quotation, invoice, credit application or supply agreement, constitute the entire agreement between the parties regarding the supply of products.
